Official Rules

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

 

1. Sponsor:

Momo Orchard Holdings Inc, 168 Canal Street, Suite 300, New York, NY (“Momofuku” or “Sponsor”). The Sweepstakes is not sponsored, endorsed or administered by Instagram™.

 

2. Eligibility:

The MOMOFUKU GOODS SEMESTER SWEEPSTAKES (the “Sweepstakes”) is open only to individual legal residents of the United States (excluding Minnesota) or the District of Columbia (each an “Eligible Residency”), who are the age of majority or older in their Eligible Residency (e.g., 18 years of age or older in the U.S. and 18 or 19 years or older, as applicable, in CA) and who have an Instagram™ account as of date of entry (an “Entrant”).

The Sweepstakes is void in Minnesota, Puerto Rico, Quebec, Yukon, Nunavut, and the Northwest Territories and where prohibited by law and subject to all federal, state, provincial and local laws. The Sweepstakes is not open to employees or to immediate family members (spouses, domestic partners, parents, grandparents, siblings, children and grandchildren) of employees of Sponsor.

 

3. How to Enter:

Beginning on November 5, 2025 at 9:00am PST and ending on November 10, 2025 at 11:59pm PST (the “Entry Period”):

(1) follow the @momofukugoods account on the Instagram™ application through your mobile device (if you don’t already);

(2) attend one of the Momofuku Goods food truck sampling events for a free noodle sample and submit a photo or video of your sample via a public Instagram™ story or post, tagging @momofukugoods, and using #MomofukuSemester

(3) comply with the terms and conditions below (together, a “Qualifying Entry”).

You may enter an unlimited number of times, but each entry submitted via a public Instagram™ story or post must include a different photo or video of your noodle sample experience. Entries may only be submitted by a single registered Instagram™ user; group submissions, including collaboration Instagram™ posts, are not permissible. Use of computer programs, artificial intelligence, and/or other automated devices to enter the Sweepstakes is prohibited. Normal internet access and Device usage charges imposed by your on-line service will apply.

Alternative Method of Entry: You may also enter by printing your name, date of birth, and complete address, on a 3” x 5” paper. Mail to: Momo Orchard Holdings, Inc., 168 Canal Street, Suite 300, New York NY (a “Mail-in Entry”). Enter as often as you wish, but each entry must be mailed separately in a stamped Mail-In Entry envelope. Entries become property of Sponsor and will not be returned. All mail-in entries must be received by the end of the Entry Period.

 

4. Entry Requirements:

ANY ENTRY DEEMED INAPPROPRIATE OR UNSUITABLE, IN SPONSOR’S SOLE DISCRETION, WILL BE DISQUALIFIED.

* Entries must not contain material that is inappropriate, indecent, contain profanity, nudity, sexual content; hateful content of any kind; content that promotes violence or harm to another living creature; or any other offensive content (as determined by Sponsor in its sole discretion);

* Entries must not contain material that promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing) or promotes any activities that may appear unsafe or dangerous;

* Entries must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;

* Entries must not contain advertisements, personal solicitations or commercial solicitations; or promote any political agenda or party;

* Entries must not include any trademarks, logos, or copyrighted materials, other than Sponsor’s related materials, or advertise or promote any brand or product owned by any entity other than Sponsor;

* Entries must be in keeping with Sponsors’ image and not contain any material that could reflect negatively on the name, reputation, or goodwill of Sponsors, or their subsidiaries or affiliates; and

* Entries must not violate or encourage the violation of any law, rule or regulation.

* Entrant’s Instagram account and entry must be set to “public” (as applicable) for the duration of the Sweepstakes.

 

5. Drawing:

A random drawing will be conducted from all Qualifying Entries and Mail-In Entries. Odds of winning depend on the number of entries received. Entrant is only eligible to win one (1) prize pack in the Sweepstakes.

Drawing date: November 12, 2025

Potential winners will be notified by DM on Instagram™ or mail, as applicable, by Sponsor. Each potential winner must reply to Sponsor and provide an email address for prize redemption within thirty-six (36) hours. Once a winner has responded with the required information, any additional entries from a winner will be disqualified from future drawings in this Sweepstakes. If a winner is not reachable at the e-mail address provided and a forwarding mailing e-mail address is not made available or if prize notification is returned as undeliverable, then the prize will be forfeited, and an alternate winner may be selected. Determinations made by Sponsors are final on all matters relating to the Sweepstakes.

 

6. Prizes:

One (1) winner will be selected to receive (1) Momofuku Goods Noodle Variety Pack (ARV $75) each month for (5) total months, starting in December 2025, and ending in April 2026 (Total ARV: $375).

○      1 bag (consisting of 4 individual serving packs) of each of our 5 noodle flavors: Sesame Miso, Soy & Scallion, Sweet & Spicy, Spicy Soy, and Tingly Chili.

No substitution or transfer of prizes permitted except at the sole discretion of Sponsors who reserves the right to substitute one or more prizes within the prize pack with prize(s) of equal or greater value. All applicable federal, state, and local taxes related to the prize are the sole responsibility of the winner. Sponsor will pay for the delivery charges to mail out the prizes to the winners.

 

7. General Rules:

Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes if it is not capable of running as planned, including, but not limited to, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures or any other problems beyond the control of Sponsor and award prizes from among all Qualifying Entries received prior to cancellation. Sponsor will not be responsible for: late, incomplete, or incorrect entries; an Entrant’s failure to receive prize notices due to Entrant’s spam, junk e-mail, or other security settings or for Entrants’ provision of incorrect or otherwise non-functioning contact information. Entrants assume all liability for any injury or damage caused, or claimed to be caused including computer malfunction, by participation in this Sweepstakes or by use or redemption of any prize or by any related activities...

 

8. Release and Jurisdiction:

If Entrant is a resident of the United States, the Sweepstakes shall be governed by and interpreted in accordance with the laws of the State of California applicable to promotions fully carried out within California.

By entering, Entrant agrees (for himself or herself and his or her heirs) to forever waive, release and hold harmless Sponsor, Instagram™, and their affiliates, including without limitation, their employees, officers, directors and agents from all claims, costs, injuries, losses, or damages of any kind arising out of or in connection with this Sweepstakes or the delivery, misdelivery, acceptance, possession, use of or inability to use the prizes (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, and damage to or destruction of property, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory.

9. Arbitration Agreement. 

You agree that any and all disputes or claims that have arisen or may arise between you and Sponsor, whether arising out of or relating to these Rules, the Sweepstakes, your participation in the Sweepstakes, the prize, acceptance, possession, use or misuse of the prize (including any alleged breach thereof), any advertising, or any aspect of the relationship between us, shall be resolved exclusively through final and binding arbitration, rather than in court, in accordance with the terms of this Arbitration Agreement, except that you may assert individual claims in small claims court, if your claims qualify.  Further, this Arbitration Agreement does not preclude you from bringing issues to the attention of federal, state or local agencies, and such agencies can, if the law allows, seek relief against us on your behalf.  You agree that, by participating in the Sweepstakes, you and Sponsor are each waiving the right to a trial by jury or to participate in a class action.  Your rights will be determined by a neutral arbitrator, not a judge or jury. 

YOU AND SPONSOR AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING.  UNLESS BOTH YOU AND SPONSOR AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON’S OR PARTY’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING.  ALSO, THE ARBITRATOR MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY’S INDIVIDUAL CLAIM(S).

Arbitration will be conducted by a neutral arbitrator in accordance with the American Arbitration Association’s (“AAA”) rules and procedures, including the AAA’s Supplementary Procedures for Consumer-Related Disputes (collectively, the “AAA Rules”), as modified by this Arbitration Agreement.  For information on the AAA, please visit its website, http://www.adr.org; Information about the AAA Rules and fees for consumer disputes can be found at the AAA’s consumer arbitration page, https://www.adr.org/consumer; If there is any inconsistency between any term of the AAA Rules and any term of this Arbitration Agreement, the applicable terms of this Arbitration Agreement will control unless the arbitrator determines that the application of the inconsistent Arbitration Agreement terms would not result in a fundamentally fair arbitration.  The arbitrator must also follow the provisions of these Rules as a court would.  All issues are for the arbitrator to decide, including, but not limited to, issues relating to the scope, enforceability, and arbitrability of this Arbitration Agreement.  Decisions by the arbitrator are enforceable in court and may be overturned by a court only for very limited reasons.

Unless Sponsor and you agree otherwise, any arbitration hearings will take place in a reasonably convenient location for both parties. If the parties are unable to agree on a location, the determination shall be made by AAA. If your claim is for $10,000 or less, Sponsor agrees that you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic hearing, or by an in-person hearing as established by the AAA Rules. If your claim exceeds $10,000, the right to a hearing will be determined by the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the award is based.

Payment of all filing, administration, and arbitrator fees will be governed by the AAA Rules, unless otherwise provided in this Arbitration Agreement.  Any payment of attorneys’ fees will be governed by the AAA Rules. 

All aspects of the arbitration proceeding, and any ruling, decision, or award by the arbitrator, will be strictly confidential for the benefit of all parties.

If a court or the arbitrator decides that any term or provision of this Arbitration Agreement is invalid or unenforceable, the parties agree to replace such term or provision with a term or provision that is valid and enforceable and that comes closest to expressing the intention of the invalid or unenforceable term or provision, and this Arbitration Agreement shall be enforceable as so modified.  The remainder of these Rules will continue to apply.

 

10. Limitation of Liability:

YOU AGREE IN NO EVENT SHALL SPONSOR OR PRIZE CONTRIBUTOR BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES, EVEN IF SUCH DAMAGES ARE FORESEEABLE AND REGARDLESS OF WHETHER SPONSOR OR PRIZE CONTRIBUTOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SPONSOR OR PRIZE CONTRIBUTOR BE LIABLE TO YOU FOR ANY AMOUNT, OR PRIZE VALUED AT ANY AMOUNT, GREATER THAN THE TOTAL ARV ($841) SET FORTH IN SECTION 6 ABOVE.

 

11. Privacy Notice:

All personal information submitted in connection with this Sweepstakes will be treated in accordance with these Official Rules and Sponsor’s Privacy Policy, which is located at https://shop.momofuku.com/policies/privacy-policy. By entering the Sweepstakes, you acknowledge that you have agreed to such Privacy Policy and you consent to the collection, use and disclosure of your personal information for the purposes of administering this Sweepstakes in accordance with such Privacy Policy.

This Sweepstakes is in no way offered, sponsored, endorsed or administered by, or associated with, any social media website, including, but not limited to, Instagram™.
